The following are collectively referred to as "the Parties"

 

Preamble

Cook-Shop is a brand owned by Foodista and has been registered with the INPI under number 3702393.

Any order placed on the website implies prior consultation and acceptance of these general terms and conditions of sale (hereinafter "GTC"). As the website is an e-commerce platform, the Customer acknowledges being fully aware that their agreement to the content of these GTC does not require a handwritten signature on this document.

The Customer is invited to save and print these Terms and Conditions, which shall be binding between the Parties.

The Client declares that he is of legal age and has the full legal capacity to enter into these terms and conditions and thus subscribe to contracts under French law.

1. Purpose

The purpose of these General Terms and Conditions is to define the rights and obligations of the parties in the context of the distance sale of products offered on the online sales area accessible within the website from the placing of the order, to after-sales services and guarantees, including payment and delivery.

2. Enforceability of the general terms and conditions of sale

Before concluding the contract remotely via electronic means, the text of these General Terms and Conditions is accessible at any time on the website and shall prevail, where applicable, over any other version or contradictory document. The General Terms and Conditions can be sent free of charge upon request electronically or by post. The Customer declares having read and accepted these General Terms and Conditions by checking the box provided for this purpose before proceeding with the online ordering process.

They are subject to change or deletion at any time.

The different versions of the terms and conditions are archived by Cook-Shop.

The version of the Terms and Conditions applicable to the Customer is the one appearing on the website at the time of validation of the order by the Customer.

3. Website unavailability

The website or access to one or more services within the site, such as the online sales area, may be closed temporarily or permanently without notice or compensation, and no Internet user may claim any compensation. 

4. Products

4.1 Availability

The products (meaning goods or services) offered for sale by Cook-Shop are those appearing on the website on the day the Client consults the website.

Products are offered subject to availability. If a product is unavailable, Cook-Shop will inform the customer by any means it deems appropriate within 5 days of the order.

In this case, Cook-Shop may, in agreement with the Customer, schedule a new delivery date depending on its stock availability. If no agreement is reached or if the ordered product cannot be obtained, Cook-Shop will refund the sums paid by the Customer within a maximum of 30 days, without the Customer being entitled to any compensation.

4.2 Product Information

Great care is taken to ensure that information regarding the essential characteristics of the products for sale, as well as payment and delivery methods, is available online before an order is placed. However, minor variations in product representation that do not affect essential characteristics may occur. These variations shall not, under any circumstances, give rise to contractual liability on the part of Cook-Shop. Photos depicting the products or their use are for illustrative purposes only and are not contractually binding.

The colours of the products, including colourings and sugar paste, are given as an indication and may vary depending on the manufacturing batches and the individual interpretation of a colour.

The information posted on the website does not in any way exempt the Customer from reading the instructions for use or any other information attached to the product or printed on the product or its packaging (precautions for use, conditions of use, etc.).

The products offered comply with current French legislation and applicable standards in France.

4.3 Minimum durability date

The best before dates (formerly best before dates) are displayed on the website so that the customer can buy the products with full knowledge of the facts.
They also appear on the packaging, in accordance with Article R. 119-5 of the Consumer Code.

4.4 Heat-sensitive products – No refrigerated shipping

Some products sold on the Cook-Shop.fr website (including butter, chocolate, transfers, delicate decorations, etc.) are likely to be affected by heat during transport, especially in the summer.

The customer is expressly informed that refrigerated shipping is not offered unless specifically stated otherwise in the delivery method. By confirming their order, the customer accepts that the products will be shipped without refrigeration.

Consequently, the customer acknowledges ordering with full knowledge of these conditions and waives any claim, return or refund request related to any possible alteration of these products due to heat during transport.

This clause does not in any way limit the legal guarantees applicable to defective or non-conforming products for reasons other than those expressly accepted above.

5. Price

The prices for ordering the products are indicated on the online sales area dedicated to this purpose.

Prices are displayed in euros as an amount T.T.C (all taxes included).

Cook-Shop reserves the right to change its prices at any time. However, products will be billed based on the rates in effect at the time the order is registered.

The prices take into account the T.V.A, according to the rate in effect on the day of the order. Any change in the rate applicable to the T.V.A will be automatically reflected in the prices of products in the sales area.

Product prices do not include communication costs related to the use of the online sales service, which remain the responsibility of the Customer.

Unless otherwise stated, these prices do not include processing, shipping, transport, and delivery fees, which are charged separately and calculated before the order is placed. Any import fees will be payable by the Customer upon receipt of the Product.

Similarly, a preparation fee of €3 including VAT must be added to the price of the products where applicable for orders of less than €12 including VAT.

When the Customer's order is confirmed by email, the total amount of the order in euros will be indicated, corresponding to the total purchase amount (price). T.T.C + shipping costs, or other).

Prices for made-to-order products are subject to change based on fluctuations in our purchasing costs. We will inform you of any price changes before you finalize your order. Only prices for in-stock products are guaranteed unless the error is obvious.

6. Order

6.1 Order taking

The order taking process includes the following steps:

- Step 1: Fill your basket;

- Step 2: Fill in the mandatory fields of the identification and/or information forms. The Client attests to the truthfulness and accuracy of the information thus transmitted, in particular their contact details;

- step 3: check the basket (Product, number of items, unit price, total price) and correct any errors);

- step 4: consultation and acceptance of all the general terms and conditions of sale by ticking the "I accept" box placed next to the link entitled "general terms and conditions" allowing the Customer to access the document to read it;

- step 5: choice of payment method and delivery method;

- Step 6: Order confirmation and payment. 

The Customer receives an electronic acknowledgment of their order.

Any order placed by the Customer via the aforementioned steps constitutes an irrevocable acceptance of the Terms and Conditions and an electronic signature having the same value as a handwritten signature in accordance with the provisions of the civil code.

6.2 Order Confirmation

In accordance with applicable regulations, contractual information will be confirmed by Cook-Shop via email to the email address provided by the Customer when placing their order.

This confirmation email will include the following information:

- product description ;

- the identification of the order by a number ;

- the total amount of the order (price H.T., price T.T.C., (shipping costs) ;

- a reminder of the conditions for securing the payment;

- the General Terms and Conditions of Sale;

- information on the right of withdrawal.

The Customer may, upon request, have an invoice sent to the billing address and not to the delivery address by validating the option provided for this purpose on the order form.

It is the Client's responsibility to retain contractual information on the medium of their choice.

Cook-Shop reserves the right to refuse to confirm an order, particularly in the event of a payment authorization refusal, an incorrect address, or any other problem with the user's account, such as a dispute concerning payment for a previous order. In this case, Cook-Shop will inform the customer by email.

The order only becomes final after:

- payment of the full price by the Client or a deposit ;

- verification of product availability by Cook-Shop within a maximum of 72 working hours from the sending of the email acknowledging receipt of said order to the Customer;

- Sending of the order confirmation email

For placing orders, working hours are from Monday to Friday from 8:30 a.m. to 5:30 p.m., excluding public holidays.

In the event that the customer chooses products not immediately available "on order", the order will only be shipped when it is complete.

6.3 Order Cancellation

An order can only be cancelled if it contains out-of-stock items. Once the status reaches "preparation in progress," the order is considered final. Its shipment cannot be interrupted, and the order cannot be modified. 

7. Payment 

7.1 Payment methods

Payment can be made online by credit card or bank transfer. The product invoice will be sent by email with confirmation of payment acceptance.

For credit card payments made on its website, Cook-Shop uses the secure payment service of its partner bank, LCL. All information transmitted from the website to the payment system is systematically encrypted to ensure its confidentiality.

Furthermore, Cook-Shop has implemented an order verification procedure to ensure that no one uses another person's bank details without their knowledge. As part of this verification, the Customer may be asked to email Cook-Shop a copy of their identity document and proof of address. The order will only be validated after Cook-Shop's services have received and verified the documents sent.

You can also use an e-card if your bank offers this service. Your bank will then provide you with a virtual card number to make your purchase on our website.

7.2 Default of payment

In the event of non-payment of the price not justified by a legitimate reason, Cook-Shop is entitled to claim from the Customer late payment interest calculated on the basis of the legal rate in force plus three points applicable from the date of payment due.
In the event of legal debt recovery proceedings (debt collection agency, lawyer, or bailiff), and after a simple letter, Cook-Shop's debts will be increased by 15% as a penalty clause, in addition to the fees and interest stipulated above. When the Client is a professional, they will be charged a fixed recovery fee of €40 in addition to late payment penalties (additional fees may be claimed upon justification).

7.3 Retention of Title

The delivered Product remains the property of Cook-Shop until full and final payment of the price by the Customer. Failure to pay may result in Cook-Shop reclaiming the product.

The transfer of risk of loss or damage to the Customer takes place on the date of delivery of the product.

8. Delivery conditions and deadlines

8.1 In-store pickup 

The Customer can place an order for collection in our stores in Pérols and Chambéry.

Cook-Shop can then inform the Customer by email when the order is ready.

8.2 Delivery Times

The Customer chooses the carrier when placing their order, but Cook-Shop may change it without affecting the price and delivery time.

The average delivery time varies between 2 and 5 working days, from the date of order confirmation and payment in mainland France.

For your information, the average order processing time is around 24 hours but may extend over several days in the event of unavailability of one or more items or a surge in orders, particularly during the holiday season (from October to December).

Orders shipped via Chronopost are given priority and shipped the same day whenever possible.

In the event of a foreseeable extension of the delivery time, Cook-Shop undertakes to inform the Customer as soon as possible and by any means so that the Customer can then choose to maintain or to cancel all or part of their order.

If the customer maintains their order, they will still be liable for the initial shipping costs. However, in the event of a delay caused by Cook-Shop, the customer may request a refund of the shipping surcharge related to express delivery (the difference between standard or registered Colissimo, depending on the customer's choice, and Chronopost delivery). In this case, the customer agrees to have their order shipped via standard or registered Colissimo, depending on the refund requested.

Cook-Shop cannot be held liable for the consequences of any events beyond its control, including force majeure or actions of the carrier, that may delay or prevent the delivery of the ordered product. Carrier delivery times are provided for informational purposes only. During holiday periods, particularly in November and December, these times may be significantly longer without any entitlement to compensation.

If the aforementioned deadline plus 7 days is not met, the Customer may cancel their order by sending a registered letter with acknowledgment of receipt to the address indicated at the beginning of these Terms and Conditions. Cook-Shop will only accept the cancellation if the order has not been shipped or delivered between the sending and receipt of said letter. The Customer will be reimbursed no later than 30 days following receipt of the registered letter by Cook-Shop.

Orders placed before noon with the carrier Chronopost are shipped the same day whenever possible, if all the products are in stock.

8.3 Delivery Control

 The Customer is required to check the condition of the packaging and the conformity of the delivered product, and to note any reservations on the carrier's delivery slip. Any damage observed upon delivery must be reported to customer service within 48 hours by email to clients@cook-shop.fr

It is the Client's responsibility to take note of the specific delivery instructions included in Appendix 1.

8.4 Delivery Area

Parcels are shipped from France to all countries, subject to customs regulations. Delivery within Metropolitan France is made to the customer's home, a collection point, or a post office if the customer chooses this option or is absent. Delivery is made without signature unless the customer specifies otherwise (registered mail).

The shipping cost is added to the order total based on the weight/volume of the order.

We advise you to contact the carrier who delivered your package for more information.

For other countries, delivery costs are indicated at the time of order placement depending on the country and delivery options.

Cook-Shop is unable to inform you of any customs or import duties applicable to orders shipped to countries outside the European Union. It is therefore your sole responsibility to contact your local customs office to obtain the necessary information and details of any costs associated with the delivery of your product. These import duties or fees are your responsibility.

Note: Aerosols are not permitted for transport by postal airmail.

8.5 Free shipping

Our business is retail. Shipping is free for orders over €69 for orders under 30kg, delivery to a collection point via Mondial Relay in Metropolitan France, excluding Corsica.
It should be noted that the surcharge levied by the carrier due to the complexity of delivery in mountainous areas or to Corsica remains the responsibility of the customer. If you choose delivery to a pickup point, it may happen that the store or locker is full and the package is delivered to a nearby pickup point. In this situation, no compensation will be provided. If you refuse to collect your package because it has been delivered to a pickup point other than the one you initially selected, you will be charged for shipping.

Shipping is free under the aforementioned conditions. If the package is shipped and the customer does not collect it within the allotted time, the cost of reshipping will be charged. If an uncollected order is returned and the customer no longer wants it, the shipping costs will be deducted from the order refund.

8.7 Shipment of products on order:

Orders are shipped only when all products are in stock. The customer can request shipment in multiple packages, with shipping costs borne by the customer.

9. Warranty

Cook-Shop is liable for defects in conformity of the Products it sells, under the conditions of Article L.217-4 et seq. of the Consumer Code (applicable only to contractual relations between Cook-Shop and the Customer acting as a consumer), and for its hidden defects under the conditions provided for in Articles 1641 et seq. of the Civil Code.

9.1 Warranty against hidden defects

Cook-Shop is required to respect the legal guarantee against hidden defects, as defined in Article 1641 of the Civil Code, which states: "the seller is bound by the guarantee against hidden defects in the thing which render it unfit for the use for which it is intended, or which diminish this use to such an extent that the Customer would not have acquired it, or would have given only a lower price, if he had known of them."

In any case, Cook-Shop cannot be held responsible for the misuse of the Product by the Customer, nor for failure to comply with applicable regulatory and legislative provisions.

9.2 Non-conformity/defect 

The legal guarantee of conformity applies when the Product has a lack of conformity, for example, when the Product does not function according to its intended use, or when it does not correspond to the given description. The Customer has 24 months from receipt of the Product to invoke this guarantee. To do so, the Customer must inform Cook-Shop's Customer Service, clearly stating the reason for the refusal. The Product must be returned to Cook-Shop in its original packaging to the following address: Cook-Shop, 225 rue Saint Exupéry - Zone de Fréjorgues Ouest, 34130 Pérols, France.

In the event of a return due to a defect, Cook-Shop will refund the Product no later than 30 days after Cook-Shop confirms the non-conformity. Shipping costs will also be refunded upon presentation of the corresponding receipts and in any case according to the current rates for Colissimo (French postal service).

The provisions of this article do not prevent you from exercising your right of withdrawal as provided for in Article 10.

In the event of a malfunction of an appliance under warranty, the return shipping costs to our premises are the responsibility of the customer. In the event of a confirmed malfunction, the return shipping costs to the customer will be borne by Cook-Shop.

In any case, Cook-Shop cannot be held responsible for the misuse of the Product by the Customer, nor for failure to comply with applicable regulatory and legislative provisions.

9.3 Damaged packaging

The primary function of packaging is to protect the product it contains and to absorb damage in place of the product. Despite the care we take in preparing our packages, boxes may occasionally be damaged during transport, although this does not constitute a defect in the product itself. Therefore, we will not exchange products or offer return labels for damaged boxes. However, the customer retains the right to return any products they wish at their own expense within the withdrawal period.

10. Right of withdrawal

In accordance with Law L2014-344 and Articles L221-18 et seq. of the Consumer Code, the Client, whether a consumer or non-professional, has a right of withdrawal.

However, some of our products, being perishable and/or personalized, are neither returnable nor exchangeable. They are not subject to the legal right of withdrawal.

In the event of exercising the right of withdrawal, the Customer will have the choice of requesting either a refund of their order, with the exception of the return costs they will have incurred, or an exchange of the Product.

The Customer has fourteen days from receipt of the product to notify Cook-Shop of their intention to withdraw from the contract clearly and unambiguously. To this end, Cook-Shop provides the Customer with a withdrawal form upon order confirmation or at the latest upon delivery of the Product (see Appendix 2).

All returns must be reported in advance to Cook-Shop Customer Service by email to clients@cook-shop.fr or by any other means that allows proof of shipment and its date. The product must be returned within 14 days of the withdrawal declaration via Colissimo Registered Mail to

The product must be returned in its original packaging, in perfect condition, along with all accessories and instructions, and the order number and invoice to which the products relate. You can obtain your order number by logging into our website and going to the "Track your order" section.

An incomplete, damaged, used or soiled product cannot be returned.

Return shipping costs are the responsibility of the customer.

The exchange (subject to availability) or refund will be made as soon as possible after receipt of the Product(s) and at the latest within 14 days from that date.

In the event of an exchange, the Customer must include payment for the shipping costs of the new item and any additional charges for the order. Cook-Shop will then ship the new item to the Customer as soon as possible.

The Customer will be reimbursed by crediting their bank account (secure transaction) in the case of payment by bank card or by check in other cases.

12. Intellectual Property

The elements belonging to Cook-Shop, such as the website, trademarks, designs, models, images, sound and video clips, texts, photos, logo, graphic charter, without this list being exhaustive, are the exclusive property of Cook-Shop.

These Terms and Conditions do not entail any transfer of any kind of intellectual property rights on the elements belonging to Cook-Shop to the Client.

Cook-Shop grants you a non-exclusive, personal, non-transferable right to access the website, for use in accordance with the conditions set forth herein. Any other use constitutes infringement and is punishable under Intellectual Property law.

The Client shall refrain from infringing, directly or indirectly, on Cook-Shop's intellectual property rights and shall refrain from exploiting, in any way whatsoever, its names, trademarks, and logos. The Client undertakes to respect all of Cook-Shop's rights and shall refrain from creating any association in the public mind for any purpose whatsoever.

Hyperlinks to the website's homepage or any other page must systematically be subject to a request for authorization and must be removed upon simple request from Cook-Shop.

 

13. Responsibility

 Cook-Shop is subject to a general obligation of means and cannot be held responsible for the non-performance of its obligations due to a case of force majeure (defined below) or for causes beyond its control.

In any event, Cook-Shop's liability is limited to the price of the product sold in its dealings with professionals.

Furthermore, Cook-Shop cannot be held liable, to the extent permitted by applicable law, for any direct, indirect, or intangible damages that may result from accessing the website. It is also important to note that hyperlinks on the website may lead to third-party websites, the content of which remains the sole responsibility of the operators and owners of those sites.

 

14. Force Majeure 

Neither party shall be deemed to have failed in its contractual obligations to the extent that their performance is delayed, hindered, or prevented by a fortuitous event or force majeure. A fortuitous event or force majeure shall be defined as any irresistible event or circumstance beyond the control of the parties, unforeseeable, unavoidable, independent of the will of the parties, and which cannot be prevented by them despite all reasonable efforts. The party affected by such circumstances shall notify the other party within ten business days of becoming aware of them. The two parties shall then meet within one month, unless prevented by the force majeure event itself, to examine the impact of the event and agree on the conditions under which the performance of the contract will continue. If the force majeure event lasts for more than three months, the contract may be terminated by the affected party. Specifically, the following are considered as cases of force majeure or fortuitous events, in addition to those usually recognized by the jurisprudence of French courts and tribunals: the blocking of means of transport or supplies, earthquakes, fires, storms, floods, lightning, the interruption of telecommunications networks or difficulties specific to telecommunications networks external to the Client.

 

15. Completeness

In the event that any clause of this contract becomes null and void due to a change in legislation, regulations or a court decision, this shall in no way affect the validity and compliance with these General Terms and Conditions.

 

16. Duration 

These Terms and Conditions apply for the entire duration that the products offered for sale by Cook-Shop are available online.

 

17. Proof

The computerized records, kept on Cook-Shop's servers or on those of its hosting providers, will be considered as proof of communications, orders and payments made between the Parties.

 18. Applicable Law 

These Terms and Conditions are governed by French law. This applies to both substantive and procedural rules.

Under no circumstances does Cook-Shop guarantee compliance with local legislation that may apply when a user accesses the website from another country.

Subject to applicable mandatory legal provisions, any dispute related to or arising from the validity, performance, interpretation or formation of these General Terms and Conditions shall first be submitted to Cook-Shop for an amicable solution and, failing conciliation, shall be subject to the exclusive jurisdiction of the French courts:

- the commercial court of Montpellier for a dispute between Cook-Shop and a merchant ;

- the French court with jurisdiction for a dispute between Cook-Shop and a non-merchant.

 

In the event that a dispute arises from this contractual relationship, the Client and Cook-Shop undertake to seek an amicable solution before any legal action.

Consumers (not professionals) are hereby informed that they may contact a consumer mediator. Cook Shop is a member of the Vivons Mieux Ensemble mediation center. APPENDIX 1: SPECIAL INSTRUCTIONS RELATING TO DELIVERY

 

1. Cook-shop's business focuses on selling groceries and equipment to individuals. Therefore, shipping arrangements are tailored to this sales context. For wholesale and/or business-to-professional sales, conditions will be assessed on a case-by-case basis. Cook-shop's premises do not allow for the storage of large volumes of merchandise, but in the event of a large order, Cook-shop can usually restock within a reasonable timeframe. Contact us for more information.

2. In case of non-receipt of your order:

If the Customer does not receive the package within the timeframe indicated at the time of ordering, they must notify Cook-Shop by email at clients@cook-shop.fr as soon as possible. An investigation will be opened with the carrier. Upon receipt of the investigation results (approximately 3 to 4 weeks), if it concludes that the Customer did not indeed receive their order, Cook-Shop will ship a replacement free of charge.

Once the postal service has confirmed delivery of a package, Cook-Shop cannot resend the package. The postal service's confirmation is considered valid between the parties, and the customer will be responsible for placing a new order. 

3. In case of a visibly damaged package:

The contents of the packages are checked by Cook-Shop or according to its recommendations by its logistics provider at the time of shipment.

However, if you receive a package that is clearly damaged: The customer must open the package in the presence of the delivery person to document any damage and, if necessary, refuse the package. In the case of postal deliveries, the post office manager must file a report of damage and initiate an investigation, specifying "package refused: goods damaged during transport".

Any damage must be reported by email to customer service at clients@cook-shop.fr within 48 hours of receiving the package, attaching photos of the package and/or the damaged products. The customer must keep the packaging and all items related to the dispute until Cook-Shop has provided a response.

Cook-shop will then contact the service provider in order to open an investigation.
Upon receipt of the investigation results (approximately 3 to 4 weeks), if it concludes that the package was indeed damaged during transport, Cook-Shop will ship the same item free of charge (refund only in case of stock shortage).

Important: If the customer opens the package alone (without the presence of a postal worker or delivery person), the damage claim will be automatically rejected by the carrier, and no exchange or refund will be possible. We strongly recommend choosing the Colissimo signature confirmation option.

If sent via La Poste, parcel shipments are covered by the insurance of that carrier.

Please note that if the package is refused because the box is damaged but without any proven evidence that it contains direct damage to its contents, the shipping costs for a new shipment will remain the responsibility of the Customer.

4. In case of missing items

Despite all the care taken in preparing the packages, it can happen that an item is missing.

Upon delivery of the package, the Customer must verify that the goods conform to the order.

If necessary, we ask you to send an email to clients@cook-shop.fr within 48 hours of receiving the goods, attesting on your honor that a product is missing.

After verification, Cook-Shop will reimburse the product in the form of a voucher unless the Customer expressly requests a refund in their letter of complaint (via PayPal, credit to bank card or bank transfer), and this is subject to the validity of the Customer's request.

Returning the merchandise will not be possible.

Any claim made more than 48 hours after receipt of goods will be rejected and Cook-Shop will be released from all liability.

5. Error in your package

This refers to the case where an item was mistakenly placed in your package instead of another.

The Customer must return it to Cook-Shop at the latter's expense by simple Colissimo in a simple box (postal ready-to-mail box not accepted) to be reimbursed by voucher, bank re-credit or check of the shipping costs as described in article "4. In case of missing items".

6. Refusal of your parcel and uncollected parcels

A refusal without apparent cause of damage or a failure to collect the package will result in the Client being charged for shipping costs, notwithstanding the possibility of obtaining a refund for the products.

A possible return of the package will be possible but at the customer's expense.

7. Chronopost Carrier

When the customer chooses Chronopost delivery, their order is processed with priority, generally the day after or even the same day it is placed by the customer. Providing a valid mobile phone number is essential so that the delivery driver can contact the customer.

Orders placed before noon are shipped the same day.

You can track the delivery status of your package using the link and package number that is automatically sent to you.

Chronopost offers 24-hour delivery, but this does not constitute a contractual commitment from Cook-Shop. If delivery times cannot be guaranteed for any reason, the customer will not be entitled to a refund of shipping costs from Cook-Shop.

 

APPENDIX 2: FORM FOR EXERCISING THE RIGHT OF WITHDRAWAL 

This form must be completed and returned only if the Customer, acting as a consumer or non-professional, wishes to withdraw from the order placed on Cook-Shop except for exclusions or limitations to the exercise of the right of withdrawal according to the applicable General Terms and Conditions of Sale.
